Data and deliverable ownership

Our contractual terms are published openly in the Assemblysoft Master Services Agreement, so ownership positions can be reviewed before any engagement begins. In summary:

  • Customer data belongs to the customer. Business data, content, and personal data processed within a solution remain the customer's property throughout and after the engagement.
  • Bespoke deliverables are owned by the customer in accordance with the agreement — client-specific application logic and business rules are not retained or reused by Assemblysoft.
  • Background IP — pre-existing frameworks, templates, and know-how that accelerate delivery remain Assemblysoft's, licensed to the customer on a perpetual, royalty-free basis for use within their platform, so customer solutions are never left dependent on a licence that can be withdrawn.
  • Confidentiality obligations protect customer information during the engagement and for five years after it ends.

Portability and exit

When an engagement ends — for any reason — customers are not locked in. Exit provisions include:

  • Data extraction — databases and stored content are provided in standard, re-usable formats (for example, SQL database backups, CSV, or JSON exports), agreed to suit the receiving system.
  • Source code and infrastructure handover — repositories, pipeline definitions, and infrastructure-as-code templates for bespoke deliverables are transferred in line with the agreement, including documentation needed to operate them.
  • Hosting transition — where Assemblysoft manages the Azure environment, subscriptions and resources can be transferred to the customer's own tenancy, or redeployed there, as part of a planned transition.
  • Transition assistance — support for an incoming team or supplier is available as a professional service, scoped and agreed in writing.
  • Secure deletion — after handover is confirmed, customer data held by Assemblysoft is securely deleted, subject to any retention required by law, with confirmation provided on request.
